Grant Authority to the CAO to negotiate and execute a Mutual Confidentiality and Non-Disclosure Agreement with Big League Dreams USA, LLC (“BLD”), a California Limited Liability Corporation, on behalf of the County, subject to County Counsel approval, and grant authority to CAO to execute future Non-Disclosure Agreements on behalf of the County for other projects, subject to County Counsel approval.

BACKGROUND/SUMMARY:
Big League Dreams Sports Parks playing fields are built as scaled-down replicas of famous ballparks which are designed to accommodate youth baseball, youth fast pitch softball, and adult slow pitch softball. In addition the leagues amenities may include indoor soccer, hockey, flag football, kickball, and a restaurant. At BLD sports parks amenities include the ability to host special events such as company softball tournaments, company picnics, birthday parties, location shoots, business meetings and even weddings & receptions.
A mutual confidentiality agreement and non-disclosure agreement is a legal document and contract requiring parties that sign the agreement to not disclose any information protected and listed in the agreement. It is often used to keep information, such as trade secrets or proprietary information, secret and confidential.
Occasionally the County will be asked to sign a non-disclosure agreement. This could occur in a number of contexts, for example, information technology/computer technology. It can also occur when the County is given confidential financial information (when evaluating a potential contractor), or if the County is provided trade secrets in a number of different contexts. For information to remain confidential, it must meet the exceptions under the PRA, such as "official information" or being a "trade secret."
BLD, which has its nearest facility in Manteca has expressed a strong interest in having a presence in San Benito County. There have been two discussions with BLD to date, In our due diligence efforts, we have asked for financial information from them. In order to give that information they have requested that the County sign a non-disclosure agreement.
It is requested that the CAO be granted authority to negotiate and execute a Mutual Confidentiality and Non-Disclosure Agreement with Big League Dreams USA, LLC (“BLD”), a California Limited Liability Corporation, subject to County Counsel approval.
